AGREEMENT

Acceptance of Terms

Welcome to Skill Orbit! These Terms and Conditions ("Terms," "Agreement") govern your access to and use of the Skill Orbit platform at skillorbit.site (the "Platform"), operated by Skill Orbit Private Limited ("we," "us," "our," or "Skill Orbit").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

⚠️ Important Notice

These Terms contain important provisions including an arbitration agreement and class action waiver that affect your legal rights. Please read them carefully.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through a prominent notice on the Platform. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

REQUIREMENTS

Eligibility

To use the Platform, you must meet the following eligibility requirements:

Age Requirement

  • You must be at least 18 years of age
  • You must provide accurate date of birth during registration
  • We may require government-issued ID for age verification
  • Accounts found to belong to minors will be immediately terminated

Geographic Restrictions

The Platform is NOT available to residents of the following Indian states due to legal restrictions:

  • Andhra Pradesh
  • Assam
  • Odisha
  • Telangana
  • Nagaland
  • Sikkim

We implement IP-based geo-blocking to enforce these restrictions. Attempting to bypass geo-restrictions through VPNs or other means is strictly prohibited and will result in immediate account termination.

Legal Capacity

  • You must have the legal capacity to enter into binding contracts
  • You must not be barred from using the Platform under applicable laws
  • You must comply with all local laws regarding online conduct and acceptable content

ℹ️ Verification

We reserve the right to verify your eligibility at any time. Failure to provide requested verification documents may result in suspension or termination of your account.

YOUR ACCOUNT

Account Registration and Security

Creating an Account

To access certain features of the Platform, you must create an account by providing:

  • Accurate and complete registration information
  • A valid email address
  • A secure password
  • A secret code/phrase for account recovery
  • Your date of birth and location

Account Security

You are responsible for maintaining the security of your account:

  • Keep your password and secret code confidential
  • Do not share your account credentials with anyone
  • Notify us immediately of any unauthorized access or security breach
  • You are responsible for all activities that occur under your account
  • We are not liable for any loss or damage arising from unauthorized account access

Account Information

  • You must provide accurate, current, and complete information
  • You must promptly update your information if it changes
  • Providing false or misleading information may result in account termination
  • You may not impersonate another person or entity

One Account Per Person

You may only create and maintain one account. Creating multiple accounts is prohibited and may result in termination of all your accounts.

Nature of the Platform

Educational Platform

Skill Orbit is an educational platform designed to teach Daily Fantasy Sports (DFS) cricket strategies and skills. Key characteristics:

  • 100% Free: The Platform is completely free to use with no fees, charges, or payments required
  • No Real Money: No real money transactions, deposits, withdrawals, or monetary prizes
  • Skill-Based Learning: Focus on developing analytical and strategic thinking skills
  • Educational Content: Tutorials, guides, and practice scenarios for learning
  • Not Gambling: The Platform does not constitute gambling or betting under Indian law

No Monetary Transactions

Skill Orbit does NOT involve:

  • Real money deposits or payments
  • Cash prizes or monetary rewards
  • Gambling, betting, or wagering
  • Financial transactions of any kind
  • Cryptocurrency or digital currency

The Platform is purely educational and designed for learning purposes only.

Platform Purpose

The Platform is intended to:

  • Teach DFS cricket strategies and team-building skills
  • Provide practice scenarios and simulations
  • Help users understand player analysis and match conditions
  • Develop critical thinking and decision-making abilities
  • Foster a community of learners interested in cricket strategy

BEHAVIOR

User Conduct and Prohibited Activities

Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

Prohibited Activities

  • Illegal Activities: Use the Platform for any illegal purpose or in violation of any laws
  • Fraud and Deception: Engage in fraudulent activities, impersonation, or deceptive practices
  • Harassment: Harass, abuse, threaten, or intimidate other users
  • Hate Speech: Post content that is discriminatory, hateful, or promotes violence
  • Spam: Send unsolicited messages, advertisements, or promotional materials
  • Malware: Upload viruses, malware, or any malicious code
  • Hacking: Attempt to gain unauthorized access to the Platform or other users' accounts
  • Data Scraping: Use automated tools to scrape or collect data from the Platform
  • Reverse Engineering: Reverse engineer, decompile, or disassemble any part of the Platform
  • Circumvention: Bypass security measures, geo-restrictions, or age verification systems
  • Multiple Accounts: Create multiple accounts or use accounts for commercial purposes
  • Intellectual Property Violation: Infringe on copyrights, trademarks, or other intellectual property rights

Content Standards

Any content you post or share on the Platform must:

  • Be accurate and not misleading
  • Comply with applicable laws and regulations
  • Not contain offensive, inappropriate, or harmful material
  • Not violate the rights of others
  • Not contain personal information of others without consent

⚠️ Consequences of Violation

Violation of these conduct rules may result in:

  • Warning or temporary suspension
  • Permanent account termination
  • Removal of content
  • Legal action if applicable
  • Reporting to law enforcement authorities

OWNERSHIP

Intellectual Property Rights

Platform Content Ownership

All content on the Platform, including but not limited to text, graphics, logos, images, videos, software, and data compilations, is the property of Skill Orbit or its licensors and is protected by:

  • Copyright laws (Copyright Act, 1957)
  • Trademark laws (Trade Marks Act, 1999)
  • Other intellectual property laws

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Platform for personal, non-commercial purposes
  • View and download content for personal learning
  • Share content through Platform-provided sharing features

You may NOT:

  • Reproduce, distribute, or publicly display Platform content without permission
  • Modify, adapt, or create derivative works
  • Use content for commercial purposes
  • Remove copyright or proprietary notices

Trademarks

"Skill Orbit," our logo, and other marks are trademarks of Skill Orbit Private Limited. You may not use our trademarks without prior written permission.

User-Generated Content

When you post content on the Platform, you:

  • Retain ownership of your content
  • Grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content
  • Represent that you have the right to post the content
  • Agree that we may use your content for Platform improvement and promotional purposes

Copyright Infringement

If you believe your copyright has been infringed, please contact us at legal@skillorbit.site with:

  • Description of the copyrighted work
  • Location of the infringing material
  • Your contact information
  • A statement of good faith belief
  • A statement of accuracy under penalty of perjury

DISCLAIMERS

Disclaimers and Warranties

Platform "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of content
  • Uninterrupted or error-free operation

Educational Purpose Only

The Platform is for educational purposes only. We do not guarantee:

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILL ORBIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage
  • Emotional distress or psychological harm
  • Damages arising from use or inability to use the Platform
  • Damages arising from unauthorized access to your account
  • Damages arising from errors, omissions, or inaccuracies in content

Maximum Liability

Our total liability to you for all claims arising from or related to the Platform shall not exceed ₹1,000 (One Thousand Indian Rupees) or the amount you paid to us in the past 12 months (which is ₹0 as the Platform is free).

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

By using the Platform, you acknowledge and agree to these limitations of liability. If you do not agree, you must not use the Platform.

YOUR RESPONSIBILITY

Indemnification

You agree to indemnify, defend, and hold harmless Skill Orbit, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Platform
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your violation of the rights of any third party
  • Content you post or share on the Platform
  • Your breach of any representations or warranties
  • Any fraudulent or illegal activities

Defense and Settlement

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

ACCOUNT CLOSURE

Termination and Suspension

Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in your settings
  • Contacting our support team at support@skillorbit.site

Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activities
  • Providing false information
  • Underage access
  • Access from restricted geographic locations
  • Abusive or harmful behavior
  • Any reason at our sole discretion

Effect of Termination

Upon termination:

  • Your right to access the Platform will immediately cease
  • Your account data may be deleted (subject to legal retention requirements)
  • You remain liable for any obligations incurred before termination
  • Provisions that should survive termination will continue to apply

Survival

The following sections survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.

DISPUTES

Dispute Resolution and Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Jurisdiction

Any disputes arising from or related to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

Informal Resolution

Before initiating formal legal proceedings, you agree to first contact us at legal@skillorbit.site to attempt to resolve the dispute informally.

Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996:

  • Arbitration shall be conducted in Mumbai, Maharashtra
  • The arbitration shall be conducted in English
  • The decision of the arbitrator shall be final and binding
  • Each party shall bear its own costs of arbitration

Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.

Time Limitation

Any claim or cause of action arising from or related to the Platform must be filed within one (1) year after the claim arose, or it will be permanently barred.

ADDITIONAL TERMS

Miscellaneous Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Skill Orbit.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
